YARE – YACHTING AFTERSALES AND REFIT EXPERIENCE
TERMS AND CONDITIONS OF PARTICIPATION
These Terms and Conditions govern company registration and participation in YARE, organised by NAVIGO S.c.a r.l., hereinafter referred to as the “Organiser”.
By submitting the registration form, the company confirms that it has read and accepted these Terms and Conditions and that the person completing the registration is authorised to act on its behalf.
Submission of the registration form constitutes acceptance of these Terms and Conditions and creates a binding agreement between the Registered Company and the Organiser. Payment obligations are governed by Articles 12 and 13.
For the purposes of these Terms and Conditions:
“Registered Company” means the company, business entity or independent professional identified in the registration form and responsible for the registration, participation and payment of all applicable fees. “Participant” means an individual duly registered to attend YARE on behalf of the Registered Company.
“Event” or “YARE” means YARE – Yachting Aftersales & Refit Experience.
1. REGISTRATION
Participation in YARE is intended for companies, business entities and independent professionals operating in or connected with the superyacht, refit, aftersales and related sectors.
All information provided during registration must be complete and accurate.
The person submitting the registration confirms that they are authorised to enter into the agreement and accept these Terms and Conditions on behalf of the Registered Company. The Organiser reserves the right to verify the information provided and, where necessary, request additional documentation or clarification.
Registration is made in the name of the Registered Company and may not be transferred to another company, business entity or independent professional except with the prior written approval of the Organiser.
2. YARE BASIC PARTICIPATION PACKAGE
The YARE Basic Participation Package includes:
- full attendance at YARE;
- The Superyacht Captains’ Forum;
- workshops on industry topics;
- an agenda of 15 business meetings with Captains;
- the opportunity to apply for participation in the Passerelle Pitch;
- two networking lunches;
- Gala Networking Dinner;
- Captains’ Night;
- participation for up to two representatives of the Registered Company.
The Participation Package applies to the Registered Company as one participating business entity.
Optional Onsite Services, Digital Services and Premium Visibility Opportunities are not included unless specifically selected, purchased or agreed separately.
Participation in the Passerelle Pitch is optional. Registered Companies are entitled to submit an application but are under no obligation to do so. Submission of an application does not guarantee selection or participation in the Passerelle Pitch.
3. BUSINESS MEETINGS WITH CAPTAINS
The Basic Participation Package includes an agenda of 15 scheduled business meetings with Captains.
The meetings are scheduled and managed through the YARE App, taking into account the information, preferences and selections entered by both the Registered Company and participating Captains. Such preferences and selections are subject to the YARE matching criteria, scheduling requirements, technical limitations and the availability of Captains attending the Event. Accordingly, they do not create any right to meet a specific Captain or any obligation on the Organiser to guarantee the participation of a particular individual. The Organiser prepares and manages the final meeting agenda in accordance with the YARE format and the overall requirements of the B2C programme.
3.1 Meeting schedule, changes and substitutions
The meeting agenda may be modified before or during the Event.
Captains may cancel their participation, become unavailable or be substituted for organisational, professional, personal or other reasons outside the reasonable control of the Organiser.
Accordingly, the Captain attending a meeting may differ from the person previously indicated in the agenda.
The indication of a specific Captain in any preliminary or previous version of the agenda does not constitute a contractual guarantee.
If a scheduled Captain becomes unavailable, the Organiser will arrange a replacement with another participating Captain.
Where a scheduled meeting takes place with a replacement Captain, that meeting shall be considered duly performed and shall count towards the 15 meetings included in the Participation Package.
The Registered Company shall not be entitled to an additional or replacement meeting solely because the Captain attending the meeting differs from the person previously scheduled.
Changes, substitutions or rescheduling of individual meetings shall not constitute a failure by the Organiser to provide the Participation Package and shall not entitle the Registered Company to any refund, reduction or compensation.
3.2 Official record and scope of the B2C service
The meeting agenda recorded through the YARE App constitutes the official record of the business meetings scheduled and managed by the Organiser during the Event. Where a scheduled meeting takes place, the Organiser’s obligation in relation to that meeting shall be considered fulfilled.
The purpose of the YARE B2C programme is to facilitate direct professional meetings between participating companies and Captains. Participation in the B2C programme does not guarantee commercial agreements, orders, contracts, future meetings or business relationships.
3.3 Contact information and follow-up
The Organiser does not provide or disclose databases or personal contact details relating to Captains or other Event Participants, whether before, during or after YARE.
This includes personal or direct email addresses, telephone numbers, private contact information and lists or databases containing individual contact details. Any information made available through the YARE App is provided solely for the purposes of managing participation in the Event and only for the period during which such information is made available through the App. Its availability does not create any right to obtain additional information from the Organiser. The Registered Company and its Participants are responsible for obtaining directly from the persons they meet any professional contact details that those persons voluntarily agree to share. Once a meeting has taken place, the Registered Company shall therefore have no right to request from the Organiser:
- contact details of the Captain or Participant who attended the meeting;
- contact details of a Captain who was previously scheduled but subsequently replaced;
- contact details of any other Captain or Event Participant;
- a subsequent introduction to a Captain or Participant;
- an additional or replacement meeting solely because of a change in the scheduled participant;
- retrieval or reconstruction of contact information not collected directly during the Event.
The Organiser shall have no obligation to provide or facilitate such contacts or introductions following the relevant meeting or after the Event.
Any follow-up and continuation of the professional relationship resulting from a YARE meeting is the sole responsibility of the Registered Company and its Participants.
4. PARTICIPANTS
The Participation Package includes up to two Participants representing the Registered Company.
A maximum of two Participants per Registered Company may take part in the B2C “Meet the Captains” sessions and attend the business meetings included in the company’s scheduled B2C agenda.
Additional Participants representing the same Registered Company may be registered at the applicable Extra Participant fee. The number of Extra Participants may vary according to the additional registrations purchased by the Registered Company.
Extra Participants may attend the other activities included in their participation, such as the Superyacht Captains’ Forum, workshops, networking lunches, Gala Networking Dinner, Captains’ Night and other general Event activities, but they are not entitled to participate in the “B2C Meet the Captains” sessions or in the business meetings scheduled in the Registered Company’s B2C agenda.
The purchase of one or more Extra Participant registrations does not increase the number of representatives authorised to participate in the B2C sessions, which remains limited to a maximum of two Participants per Registered Company.
All Participants must be duly registered and must comply with these Terms and Conditions.
All Participants registered under the same Participation Package must attend YARE exclusively on behalf of the Registered Company.
5. PARTICIPATION ON BEHALF OF THE REGISTERED COMPANY
Registration and all rights connected with participation in YARE are granted exclusively to the Registered Company.
The Participation Package, passes, business meeting agenda, networking opportunities, YARE App access and all other benefits connected with registration may only be used for the activities and representation of the Registered Company.
Participants may be employees, directors, owners, consultants, agents or other authorised representatives of the Registered Company, provided that during YARE they participate and conduct business exclusively on behalf of the Registered Company.
A registration may not be used, directly or indirectly, to provide access to or facilitate the participation or promotion of another company, business, brand, self-employed professional or other economic entity that has not separately registered for YARE.
In particular, a Participant registered under the Participation Package of one company may not use YARE to promote:
- their own separate business or professional activity;
- another company;
- another brand;
- products or services offered by an unregistered third party.
The existence of an employment, consultancy, agency, representation, commercial or professional relationship between the Participant and the Registered Company does not, by itself, authorise that Participant to promote a separate business, company, professional activity or brand during YARE.
This provision applies to all YARE activities and services, including:
- B2C meetings with Captains;
- networking activities;
- Forum and workshops;
- lunches, dinners and social events;
- Passerelle Pitch;
- YARE App;
- Event spaces;
- digital services;
- communications;
- any other business opportunity connected with participation in YARE.
6. UNAUTHORISED PARTICIPATION OR PROMOTION OF THIRD PARTIES
The Registered Company is responsible for ensuring that all Participants registered under its Participation Package comply with Article 5.
If the Organiser reasonably verifies that the Registered Company has allowed or facilitated one of its Participants to provide access to, represent, promote or conduct business on behalf of an unregistered third-party company, business, brand or independent professional activity, the Registered Company shall be responsible for such unauthorised participation.
The Organiser will notify the Registered Company of the identified breach and may request clarification or supporting information.
Where the unauthorised participation or promotion is confirmed, an additional participation fee equal to the full standard Participation Package fee applicable to the relevant edition of YARE shall be charged to the Registered Company for each unregistered third-party company, business entity or independent professional identified. No Early Bird discount or other promotional discount shall apply to this additional fee.
The additional amount corresponds to the participation fee applicable to the additional business entity that has accessed or commercially benefited from YARE without completing its own registration.
The Organiser also reserves the right, according to the circumstances, to:
- refuse or withdraw the relevant Participant’s badge;
- suspend or withdraw access to the YARE App;
- cancel meetings assigned to the relevant Participant;
- refuse access to specific YARE activities;
- require the unauthorised third party to cease any promotional or commercial activity;
- refuse further access to the Event.
Payment of the additional participation fee does not prevent the Organiser from taking any of the above measures where necessary.
7. PARTICIPANT REGISTRATION AND ACCESS
The names and required details of all Participants must be provided at the time of registration.
Access to the Event will only be granted to Participants whose names and required details have been duly provided and registered.
Any subsequent request to substitute a Participant is subject to the prior approval of the Organiser and must be communicated in writing to info@yarenetworking.com.
Event badges are personal, display the name of the Registered Company and may not be transferred, exchanged or given to unregistered persons.
The Organiser reserves the right to request valid identification for access to the Event and any related activities.
Failure to provide the required Participant details at the time of registration may prevent completion of the registration process.
8. YARE APP AND LOGIN CREDENTIALS
YARE App login credentials will only be issued once payment has been completed in accordance with Article 13 and the amount due has been received and verified by the Organiser.
No access to the YARE App, company profile activation or business matching process will be provided before payment has been completed, unless different payment terms or arrangements have been expressly agreed in writing between the Organiser and the Registered Company. In such cases, access to the YARE App may be activated in accordance with the terms of the relevant written agreement.
Each Registered Company will receive one set of login credentials for the YARE App, regardless of the number of Participants registered.
By default, the login credentials and all YARE App-related communications will be sent to Event Participant #1. If the Registered Company has indicated an Event Contact Person during registration, the login credentials and all related communications will instead be sent exclusively to the Event Contact Person.
The Event Contact Person may receive and manage the YARE App credentials on behalf of the Registered Company and its Participants but is not considered a Participant and does not acquire any right to physically attend the Event.
The same login credentials may be used by the registered Participants of the same Registered Company. Separate login credentials will not be issued to individual Participants.
Login credentials may not be shared with any person other than the registered Participants and, where applicable, the designated Event Contact Person, or with any other company or unauthorised third party. The Registered Company is responsible for the proper and authorised use of its login credentials.
9. OPTIONAL ONSITE AND DIGITAL SERVICES
The Registered Company may select additional onsite and digital services available during the registration process.
The description and price of each optional service will be displayed before the order is confirmed.
Optional services added to the cart form part of the registration agreement and will be included in the order summary and invoice.
Optional services not selected during registration may, where available, be purchased subsequently according to the conditions communicated by the Organiser.
Availability of individual services may be limited.
10. PREMIUM VISIBILITY OPPORTUNITIES
Premium Visibility Opportunities are managed separately from the online registration and checkout process.
Companies interested in these opportunities may contact the YARE team and request a proposal from an Account Manager.
Premium Visibility Opportunities are subject to availability and to a separate written commercial proposal.
Any services, prices and specific conditions agreed through such proposal shall become binding only upon written acceptance.
The Registered Company may complete its YARE registration without selecting or requesting any Premium Visibility Opportunity.
11. EARLY BIRD DISCOUNT
To qualify for the 10% Early Bird discount, the registration form, including acceptance of the applicable Terms and Conditions, must be fully completed and submitted to the Organiser by 11 October 2026.
Unless otherwise expressly stated, the Early Bird discount applies exclusively to the Participation Package.
It does not apply to:
- Extra Participants;
- optional onsite services;
- optional digital services;
- Premium Visibility Opportunities;
The applicable discount will be displayed in the order summary before final confirmation.
12. PRICES, VAT AND INVOICING
All prices are expressed in euros and are exclusive of VAT unless otherwise stated.
During the online registration process, the applicable VAT treatment will be determined on the basis of the information provided by the Registered Company and the tax rules applied by the registration system. The order summary will therefore display the total amount payable, including VAT where applicable.
The VAT treatment displayed during registration is subject to verification by the Organiser’s Administration Department when the relevant invoice is issued.
Where specific circumstances, the Registered Company’s tax status or the documentation provided require a different VAT treatment, the Organiser may adjust the VAT treatment and issue or amend the relevant invoice accordingly.
Any resulting adjustment shall be reflected in the final amount due. The Registered Company shall be responsible for providing complete, accurate and up-to-date company, billing and tax information and, where requested, any supporting documentation required to determine the correct VAT treatment.
Official invoices and payment-related communications will be sent to the Billing Contact indicated in the registration form.
13. PAYMENT
The total amount payable will be displayed in the order summary before completion of the registration process, based on the VAT treatment applied in accordance with Article 12.
Payment may be made using the payment methods made available during registration, including credit card and bank transfer where available.
Where payment by bank transfer is selected, payment must be made within the terms indicated in the registration confirmation or invoice.
If the Organiser’s Administration Department identifies a VAT or tax adjustment in accordance with Article 12, the Registered Company shall be required to pay any additional amount resulting from such adjustment before the payment is considered complete. Any corresponding correction or adjustment shall be reflected in the relevant invoice.
Payment shall be considered complete only when all amounts finally due in relation to the registration, including any applicable VAT or tax adjustments, have been received and verified by the Organiser.
Failure to complete payment within the applicable deadline may result in the withholding of access to the YARE App and related participation services. The Registered Company remains responsible for payment of all amounts due.
Any bank charges or transfer fees charged by the Registered Company’s bank or payment provider shall be borne by the Registered Company.
The Organiser reserves the right to refuse access to the Event where any amount due under the registration remains unpaid.
14. BINDING REGISTRATION AND ACTIVATION OF YARE SERVICES
The registration becomes contractually binding upon submission of the registration form and acceptance of these Terms and Conditions.
Any cancellation request must be submitted in writing to the Organiser.
Any cancellation request submitted before the YARE App login credentials have been issued and sent by the Organiser shall be subject to the Organiser’s prior written approval and shall not constitute an automatic right to cancellation or refund.
Once the YARE App login credentials have been issued and sent by the Organiser to the designated contact, the Registered Company may cancel its participation. In such case, the Registered Company shall be entitled to a refund equal to 70% of the Participation Package fee actually paid, while the remaining 30% shall be retained by the Organiser as a cancellation charge.
The 30% cancellation charge reflects the activation of the Registered Company’s participation process and the organisational activities already undertaken by the Organiser, including company profiling, visibility within the YARE business matching system, management of preferences and selections, matchmaking activities, agenda preparation and other organisational services connected with participation in the Event.
Where the YARE App login credentials have been issued under alternative payment terms expressly agreed in writing and the Participation Package fee has not yet been paid in full, the Registered Company shall remain liable for an amount equal to 30% of the applicable Participation Package fee in the event of cancellation.
A substitution of a registered Participant with another representative of the same Registered Company shall not constitute cancellation and shall not affect the Registered Company’s payment obligations.
The registration may not be transferred, assigned or made available to another company, business entity or independent professional without the prior written approval of the Organiser.
Nothing in this Article affects any rights that cannot be excluded under applicable law or the provisions of Article 16 concerning postponement or cancellation of the Event by the Organiser.
15. CHANGES TO THE EVENT PROGRAMME
The Organiser reserves the right to make reasonable changes to the Event programme, timetable, speakers, Captains, meeting schedules, venues or individual activities where required for organisational, operational, technical or safety reasons.
Such changes shall not entitle the Registered Company to reimbursement or compensation where the overall nature and purpose of YARE are maintained.
The Organiser will communicate material changes through the official YARE communication channels.
16. POSTPONEMENT, CANCELLATION OF THE EVENT AND FORCE MAJEURE
The Organiser shall not be liable for failure or delay in performing its obligations where such failure or delay results from events beyond its reasonable control.
These may include, without limitation:
- natural disasters;
- extreme weather conditions;
- epidemics or public health emergencies;
- war or acts of terrorism;
- civil disturbance;
- industrial disputes;
- measures or restrictions imposed by public authorities;
- serious transport disruption;
- serious infrastructure or utility failure;
- other comparable events outside the Organiser’s reasonable control.
Where YARE is postponed or rescheduled, the registration and any amounts already paid shall automatically be transferred to the new dates of the same Event. Such transfer shall not be considered a credit towards a future edition of YARE for the purposes of Article 14.
The Registered Company’s registration shall remain valid for the rescheduled Event and no new registration shall be required.
Where YARE is cancelled and is not rescheduled, the non-cancellation and non-refundability provisions set out in Article 14 shall not apply. Any amounts paid for participation in the Event shall be refunded, except for amounts relating to services already fully performed or delivered before the cancellation.
Except where otherwise required by mandatory law, the Organiser shall not be responsible for travel, accommodation, personnel or other costs independently incurred by Registered Companies or Participants in connection with the Event.
17. PARTICIPANT CONDUCT
Participants must behave professionally and comply with these Terms and Conditions, Event rules, venue regulations, security requirements and reasonable instructions issued by the Organiser.
The Organiser reserves the right to refuse or withdraw access to any Participant whose conduct:
- compromises the safety or proper operation of the Event;
- seriously disrupts Event activities;
- involves threatening, abusive, discriminatory or unlawful behaviour;
- involves unauthorised commercial or promotional activity;
- breaches Articles 5 or 6;
- otherwise constitutes a serious breach of these Terms and Conditions.
Where access is withdrawn because of the conduct of a Participant or breach of these Terms and Conditions, the Registered Company shall not be entitled to reimbursement of participation fees.
18. COMPANY INFORMATION AND MATERIALS
The Registered Company authorises the Organiser to use the company name, displayed name, trademarks, logos, company description, website and any other information or materials supplied in connection with the registration for purposes relating to YARE.
Such use may include publication or reproduction in:
- the YARE website;
- the YARE App;
- the Event catalogue;
- company and Participant listings;
- Event signage;
- Event-related communications and promotional materials.
The Registered Company confirms that it owns, or is otherwise duly authorised to provide and permit the use of, all trademarks, logos, images, texts and other materials supplied to the Organiser.
The Registered Company remains solely responsible for the accuracy, completeness and lawfulness of the information and materials provided and shall promptly notify the Organiser of any relevant correction or change.
The Registered Company must provide all required company information, logos, descriptions and other materials within the deadlines communicated by the Organiser.
Where information or materials are provided after the applicable deadline, the Organiser cannot guarantee their inclusion, publication or updating on the YARE website, YARE App, Event catalogue, signage, Participant listings or any other Event communication or material.
The Organiser shall not be required to amend, reproduce, reprint or replace any digital or printed material that has already been prepared, produced or finalised.
Any inclusion, correction or update requested after the applicable deadline shall be subject to technical feasibility and the Organiser’s discretion.
Late submission, correction or replacement of company information or materials shall not entitle the Registered Company to any refund, reduction, credit or compensation in respect of the Participation Package or any related service.
19. YARE NAME, LOGO AND INTELLECTUAL PROPERTY
The YARE name, logo, graphic identity, Event materials, digital content and other material produced by or on behalf of the Organiser remain the property of their respective owners.
Participation in YARE does not grant the Registered Company any right to use the YARE name, trademarks or logos for purposes unrelated to its participation in the Event.
Any commercial use of YARE trademarks or graphic material requires prior authorisation from the Organiser.
Registered Companies retain ownership of their own trademarks, logos and materials.
20. PHOTOGRAPHY, VIDEO AND EVENT RECORDING
Photography, filming and other audiovisual recording may take place during YARE for documentation, communication and institutional purposes.
The processing and use of images containing identifiable individuals shall be governed by the applicable Privacy Notice and relevant data protection legislation.
Any specific information or consent required in relation to images shall be managed separately from acceptance of these Terms and Conditions where required.
21. DATA PROTECTION
Personal data collected during registration and participation in YARE will be processed in accordance with applicable data protection legislation and the YARE Privacy Notice made available during registration.
Acceptance of these Terms and Conditions is separate from any optional consent requested for marketing or promotional communications.
The Registered Company is responsible for providing accurate and up-to-date personal data relating to its Participants, Event Contact Person, Billing Contact and any other individual whose details are submitted during the registration process.
The Registered Company is also responsible for informing such individuals that their personal data will be provided to and processed by the Organiser for purposes connected with the registration, organisation, management and delivery of YARE.
Nothing in this Article creates any right for the Registered Company to receive personal data or contact details relating to Captains or other Event Participants. The disclosure of such information is governed by Article 3.
22. LIABILITY
The Organiser shall use reasonable care in the organisation and management of YARE.
To the maximum extent permitted by applicable law, the Organiser shall not be liable for indirect or consequential commercial losses arising from participation in the Event, including loss of profit, loss of business opportunities, loss of contracts or loss of anticipated revenue.
The Organiser shall not be responsible for the loss, theft or damage of personal property except where directly attributable to circumstances for which liability cannot lawfully be excluded or limited.
Nothing in these Terms and Conditions excludes or limits liability where exclusion or limitation is prohibited by applicable law.
23. BREACH OF THESE TERMS AND CONDITIONS
Where the Registered Company or any of its Participants breaches these Terms and Conditions, the Organiser may take measures proportionate to the nature and seriousness of the breach.
These may include:
- requesting immediate correction of the breach;
- suspending access to specific Event services;
- withdrawing badges;
- suspending YARE App access;
- cancelling individual meetings;
- refusing access to specific activities;
- refusing or withdrawing access to the Event;
- charging any additional amounts due under these Terms and Conditions.
The Registered Company remains responsible for amounts already due and for any additional fees arising from its registration or the conduct of its Participants.
24. OFFICIAL COMMUNICATIONS
Official invoices and payment-related communications will be sent to the Billing Contact indicated during registration, unless otherwise agreed in writing with the Organiser.
All Event-related communications, including programme information, organisational updates, matching information, YARE App details, login credentials and reserved area access credentials, will be sent to one designated contact only as per Art.8.
By default, Event Participant #1 will be the designated contact for the Registered Company.
If an Event Contact Person is indicated during registration, that person will replace Participant #1 as the designated contact and all Event-related communications will be sent exclusively to the Event Contact Person.
Event-related communications will not be sent simultaneously by the Organiser to multiple contacts.
The Registered Company is responsible for ensuring that the email addresses and contact details provided during registration are correct, active and regularly monitored and must promptly notify the Organiser of any changes.
25. GOVERNING LAW AND EXCLUSIVE JURISDICTION
These Terms and Conditions and any contractual relationship arising from or in connection with participation in YARE shall be governed by and construed in accordance with Italian law.
Any dispute arising out of or in connection with these Terms and Conditions, including any dispute concerning their formation, validity, interpretation, performance, breach or termination, shall be subject to the exclusive jurisdiction of the Court of Lucca, Italy, to the exclusion of any other court or jurisdiction, to the extent permitted by applicable law.
26. ENTIRE AGREEMENT AND SEVERABILITY
These Terms and Conditions, together with:
- the completed registration form;
- the confirmed order summary;
- the services selected by the Registered Company;
- any separate written proposal or agreement accepted for additional services or specific commercial arrangements;
constitute the contractual terms governing participation in YARE.
Any specific commercial condition separately agreed in writing between the Organiser and the Registered Company shall prevail over these Terms and Conditions only to the extent expressly stated in that agreement.
The provisions relating to binding registration, non-cancellability and non-refundability are set out in Article 14, while the provisions relating to postponement, cancellation of the Event and force majeure are set out in Article 16.
If any provision of these Terms and Conditions is found to be invalid, unlawful or unenforceable, the remaining provisions shall remain valid and effective to the fullest extent permitted by law.
